IMPORTANT: PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING OUR SERVICES. BY ACCESSING OR USING THE NUTRIWELLME PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, PLEASE DO NOT USE OUR SERVICES.

1. Introduction and Acceptance of Terms

1.1. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and NutriWellMe ("Company", "we", "us", or "our"), governing your access to and use of the NutriWellMe website (https://nutriwell.me), mobile applications (iOS and Android), and all related services, features, content, and functionality (collectively, the "Platform" or "Services").

1.2. By creating an account, downloading our mobile application, accessing our website, or otherwise using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy (available at https://nutriwell.me/privacy), and any additional terms, guidelines, or rules that may be posted on the Platform from time to time.

1.3. We reserve the right to modify these Terms at any time. We will notify you of material changes by posting a notice on the Platform or by sending you an email at the address associated with your account. Your continued use of the Services after the effective date of any modification constitutes your acceptance of the modified Terms.

1.4. If any provision of these Terms conflicts with applicable law, that provision shall be modified to the minimum extent necessary to comply with such law, and the remaining provisions shall continue in full force and effect.

2. Eligibility

2.1. Age Requirement: You must be at least eighteen (18) years of age to access or use the Services. By using the Platform, you represent and warrant that you are at least 18 years old. We do not knowingly collect personal data from individuals under 18 years of age. If we become aware that a user is under 18, we will promptly terminate their account and delete all associated data.

2.2. You represent and warrant that you have the legal capacity to enter into a binding agreement under the laws applicable to you and that your use of the Services will not violate any applicable law or regulation.

2.3. You may not use the Services if you have been previously suspended or removed from the Platform, or if your account has been terminated for violation of these Terms.

3. Account Registration and Security

3.1. To access certain features of the Services, you must register for an account. You may register using your email address and password, or through supported third-party authentication services (Google Sign-In, Apple Sign-In).

3.2. You agree to provide accurate, current, and complete information during registration and to update such information as necessary to keep it accurate, current, and complete.

3.3. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at team@nutriwell.me of any unauthorized use of your account or any other breach of security.

3.4. We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, not current, or incomplete, or if we have reasonable grounds to suspect fraud or misuse.

3.5. You may not share your account credentials with any third party. Each account is for a single individual user only.

4. Description of Services

4.1. NutriWellMe is a wellness and nutrition management platform that provides tools and features to help users track, manage, and improve their health and dietary habits. Our Services include, but are not limited to:

  • Health and Wellness Tracking: Track meals, workouts, sleep patterns, water intake, weight, blood pressure, blood sugar levels, mood, and meditation sessions.
  • AI-Powered Food Scanning: Use your device camera to scan food items and nutritional labels. Our artificial intelligence technology identifies foods, extracts ingredients, and provides estimated nutritional information.
  • AI-Powered Meal and Workout Plans: Receive personalized meal plans, workout routines, and wellness activity recommendations generated by our AI system based on your health data, goals, and preferences.
  • Pantry and Inventory Management: Track food items in your pantry, including quantities and expiration dates.
  • Goal Setting and Progress Analytics: Set health goals and track your progress through dashboards and visualizations.
  • Recipe Import and Management: Import recipes from external sources and manage your personal recipe collection.

4.2. AI-Generated Content Disclaimer: Certain features of the Platform use artificial intelligence (specifically, Google Gemini AI models) to generate nutritional analysis, meal plans, workout routines, and other recommendations. AI-generated content is provided for informational and general wellness purposes only. AI-generated content may contain inaccuracies, and you should independently verify any information before relying on it. We do not guarantee the accuracy, completeness, or reliability of any AI-generated content.

5. Subscription Plans and Billing

5.1. NutriWellMe offers the following subscription tiers for the mobile application and web platform:

  • Free Tier: Basic health logging and tracking features at no cost.
  • Pro Tier: Includes food and label scanning capabilities, advanced tracking features, and pantry management.
  • AI PRO Tier: Includes all Pro features plus AI-powered personalized meal plans, workout plans, and wellness recommendations.

5.2. Billing and Payment: Paid subscriptions are processed through the Apple App Store (for iOS devices) or Google Play Store (for Android devices) via our billing partner RevenueCat. All billing, payment processing, refunds, and subscription management are subject to the terms and policies of the applicable app store.

5.3. Auto-Renewal: Paid subscriptions automatically renew at the end of each billing period (monthly or annually, as selected) unless you cancel at least 24 hours before the end of the current billing period. You may manage or cancel your subscription through your device's app store settings.

5.4. Price Changes: We reserve the right to change subscription prices. Any price changes will take effect at the start of the next billing period following notice to you. If you do not agree with a price change, you may cancel your subscription before the change takes effect.

5.5. Refunds: Refund requests are subject to the refund policies of the Apple App Store or Google Play Store, as applicable. We do not directly process refunds for app store purchases. If you believe you are entitled to a refund, please contact the relevant app store directly.

5.6. Free Trial: We may offer free trial periods for paid subscriptions. If you do not cancel before the end of the trial period, you will be automatically charged for the applicable subscription plan.

6. AI-Powered Features and Limitations

6.1. Nature of AI Services: Our Platform uses Google Gemini artificial intelligence models to provide food scanning, nutritional analysis, label scanning, meal plan generation, workout plan generation, and wellness recommendations. These AI features process data you provide (including images and health data) to generate responses.

6.2. AI Credits: Use of AI-powered features (food scanning, label scanning, plan generation) consumes AI credits allocated to your account based on your subscription tier. Credit allocations and usage rates are displayed within the Platform.

6.3. Accuracy Disclaimer: AI-generated nutritional information, meal plans, workout routines, and recommendations are estimates and approximations. They are not guaranteed to be accurate, complete, or suitable for your specific health condition. Factors such as image quality, food preparation methods, portion variations, and individual biological differences can affect accuracy.

6.4. Not Medical Advice: AI-generated content on the Platform does not constitute medical advice, dietary prescription, or clinical recommendation. AI features are tools to assist your personal wellness journey and should not replace professional medical consultation.

6.5. Data Processing: When you use AI features, your data (including food images and health information) is processed by Google Vertex AI services. By using AI features, you consent to this processing. For more details, please refer to our Privacy Policy.

6.6. AI Transparency: All content generated by AI on the Platform is identified as such. You have the right to request human review of any AI-generated recommendation that significantly affects you.

7. Health and Wellness Disclaimer

7.1. NOT A MEDICAL SERVICE: NutriWellMe is a wellness and nutrition tracking platform. It is NOT a medical service, healthcare provider, or substitute for professional medical advice, diagnosis, or treatment.

7.2. CONSULT YOUR PHYSICIAN: Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition, diet, exercise program, or health concern. Never disregard professional medical advice or delay in seeking it because of information provided through the Platform.

7.3. If you have or suspect a medical condition, are taking medication, are pregnant or nursing, or have specific dietary needs due to a health condition, consult a qualified healthcare professional before following any recommendations from the Platform.

7.4. EMERGENCY WARNING: If you experience a medical emergency, call your local emergency services immediately. Do not rely on the Platform for emergency medical assistance.

7.5. The nutritional information, meal plans, workout routines, and wellness recommendations provided through the Platform are for general informational purposes only. Individual results may vary, and we make no guarantees regarding weight loss, health improvement, or any specific outcome from using our Services.

7.6. You acknowledge that you are solely responsible for your health decisions and that you use the information and recommendations from the Platform at your own risk.

8. User Content and Conduct

8.1. "User Content" means any data, text, images, photographs, health information, or other content that you submit, upload, or transmit through the Platform, including health logs, food images, profile information, and chat messages.

8.2. You retain ownership of your User Content. By submitting User Content to the Platform, you grant NutriWellMe a non-exclusive, worldwide, royalty-free, sublicensable license to use, process, store, and display your User Content solely for the purpose of providing and improving the Services.

8.3. You represent and warrant that your User Content does not violate any applicable law or the rights of any third party, and that you have all necessary rights and permissions to submit such content.

8.4. We reserve the right to remove or disable access to any User Content that we believe violates these Terms or applicable law, without prior notice.

9. Prohibited Conduct

9.1. You agree not to engage in any of the following prohibited activities:

  • Using the Platform for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation.
  • Impersonating any person or entity or falsely stating or misrepresenting your affiliation with any person or entity.
  • Interfering with or disrupting the integrity, security, or performance of the Platform or its underlying infrastructure.
  • Attempting to gain unauthorized access to any portion of the Platform, other user accounts, or any systems or networks connected to the Platform.
  • Using automated scripts, bots, crawlers, or similar tools to access, scrape, or collect data from the Platform without our express written permission.
  • Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code of the Platform.
  • Uploading content that is offensive, defamatory, obscene, threatening, or otherwise objectionable.
  • Using the Platform to transmit any viruses, malware, or other harmful code.
  • Circumventing or attempting to circumvent any access control, usage limits, or billing mechanisms.
  • Reselling, redistributing, or commercially exploiting any part of the Services without our express written permission.
  • Using AI features to generate content for purposes other than personal health and wellness management.

9.2. Violation of these prohibitions may result in immediate suspension or termination of your account, at our sole discretion.

10. Intellectual Property

10.1. The Platform, including its design, text, graphics, logos, icons, images, software, algorithms, AI models, data compilations, and all other content (excluding User Content), is the property of NutriWellMe or its licensors and is protected by applicable intellectual property laws.

10.2. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial use.

10.3. You may not copy, modify, distribute, sell, lease, or create derivative works based on the Platform or any content therein, except as expressly permitted by these Terms or with our prior written consent.

10.4. All trademarks, service marks, and trade names displayed on the Platform are the property of NutriWellMe or their respective owners. Nothing in these Terms grants you any right to use any trademark, service mark, or trade name without the prior written consent of the owner.

11. Third-Party Services and Integrations

11.1. The Platform integrates with and relies on certain third-party services to provide its functionality. These include, but are not limited to:

  • Google Services: Google Sign-In for authentication, Google Vertex AI (Gemini) for AI-powered features, Google Cloud Storage for data storage, and Firebase for analytics and push notifications.
  • Apple Services: Apple Sign-In for authentication, Apple App Store for subscription billing (iOS), and Apple Push Notification Service (APNs).
  • RevenueCat: Subscription management and billing across platforms.
  • Zoho Mail: Email communication services.

11.2. Your use of third-party services is subject to the respective terms of service and privacy policies of those third-party providers. We are not responsible for the practices or policies of any third-party service.

11.3. We do not guarantee the availability, accuracy, or reliability of any third-party service. Disruptions in third-party services may affect the availability or functionality of certain Platform features.

11.4. The Platform may contain links to third-party websites or resources. We are not responsible for the content, products, or services available from such third-party sites.

12. Data and Privacy

12.1. Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, available at https://nutriwell.me/privacy. The Privacy Policy is incorporated into these Terms by reference.

12.2. By using the Services, you consent to the collection, use, and processing of your personal data as described in our Privacy Policy, including health and wellness data that you voluntarily provide through the Platform.

12.3. You have certain rights regarding your personal data under applicable data protection laws, including the right to access, correct, delete, and export your data. Please refer to our Privacy Policy for details on how to exercise these rights.

13. Limitation of Liability

13.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NUTRIWELLME AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES.

13.2. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF NUTRIWELLME FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID TO NUTRIWELLME IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100).

13.3. The limitations set forth in this section shall apply regardless of the legal theory on which the claim is based, whether in contract, tort (including negligence), strict liability, or otherwise, and even if NutriWellMe has been advised of the possibility of such damages.

13.4. Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the limitations above shall apply to the fullest extent permitted by law.

13.5. SPECIFIC DISCLAIMERS: Without limiting the foregoing, NutriWellMe shall not be liable for: (a) any health consequences resulting from your reliance on AI-generated nutritional information, meal plans, or workout plans; (b) inaccuracies in food scanning, label scanning, or nutritional analysis; (c) any decision you make based on information provided through the Platform; or (d) any unauthorized access to your account resulting from your failure to maintain the security of your credentials.

14. Disclaimer of Warranties

14.1. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

14.2. NUTRIWELLME DOES NOT WARRANT THAT: (A) THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS; (B) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; OR (D) ANY ERRORS IN THE SERVICES WILL BE CORRECTED.

14.3. No advice or information, whether oral or written, obtained by you from NutriWellMe or through the Services shall create any warranty not expressly stated in these Terms.

15. Indemnification

15.1. You agree to indemnify, defend, and hold harmless NutriWellMe and its directors, officers, employees, agents, affiliates, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of or access to the Services.
  • Your violation of these Terms.
  • Your violation of any applicable law or the rights of any third party.
  • Any User Content you submit through the Platform.
  • Your negligence or willful misconduct.

15.2. This indemnification obligation shall survive the termination or expiration of these Terms and your use of the Services.

16. Termination

16.1. You may terminate your account at any time by contacting us at team@nutriwell.me or through the account settings within the Platform. Termination of your account will take effect within a reasonable period after your request.

16.2. We may suspend or terminate your account and access to the Services at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, suspected fraudulent or illegal activity, extended periods of inactivity, or if required by law.

16.3. Upon termination: (a) your right to access and use the Services will immediately cease; (b) any outstanding subscription fees will not be refunded except as required by applicable law or the applicable app store's refund policy; and (c) provisions that by their nature should survive termination shall survive, including Sections 10, 13, 14, 15, 17, and 18.

16.4. Upon your request, and subject to applicable data retention obligations under law, we will delete your personal data in accordance with our Privacy Policy. Certain data may be retained as required by applicable law or for legitimate business purposes.

17. Governing Law and Dispute Resolution

17.1. These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

17.2. Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts located in Tamil Nadu, India.

17.3. Before initiating any legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at team@nutriwell.me. We will endeavour to resolve the dispute through good-faith negotiation within thirty (30) days of receiving your notice.

17.4. If informal resolution is not successful, either party may initiate proceedings as described in Section 17.2.

17.5. Notwithstanding the foregoing, nothing in these Terms shall prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

17.6. For Users in the European Union: If you are a consumer in the EU, you may also have the right to bring proceedings in the courts of your country of residence, and nothing in these Terms affects your statutory rights as a consumer under applicable EU law.

17.7. For Users in California, USA: Under California Civil Code Section 1789.3, California users are entitled to the following specific consumer rights notice: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

18. General Provisions

18.1. Entire Agreement: These Terms, together with our Privacy Policy and any supplemental terms applicable to specific features, constitute the entire agreement between you and NutriWellMe regarding your use of the Services.

18.2. Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

18.3. Waiver: No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

18.4. Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

18.5. Force Majeure: We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemic, natural disasters, government actions, power failures, internet disruptions, or third-party service outages.

18.6. Notices: All notices to us shall be sent to team@nutriwell.me. Notices to you may be sent to the email address associated with your account or posted on the Platform.

18.7. Language: These Terms are drafted in English. In the event of any conflict between the English version and any translated version, the English version shall prevail.

18.8. No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.
